These Terms of Use (“Terms”) govern your access to and use of the Efficient App website and any webpages, content, newsletters, quizzes, videos, podcasts, courses, digital products, promotions, purchase flows, and related services made available by Efficient App Inc. through that website that link to or reference these Terms (collectively, the “Services”).

By accessing or using the Services, signing up for our emails, submitting a form, purchasing a product, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity, and in that case “you” means both you and that entity.

We may update these Terms from time to time. If we do, we will post the updated version and revise the “Last Updated” date above. Unless we state otherwise, the updated Terms become effective when posted. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.

You represent and warrant that:

(a) you are at least 18 years old and capable of forming a binding contract;
(b) any information you provide to us is truthful, accurate, and complete; and
(c) you will comply with these Terms and applicable law.

We may modify, suspend, discontinue, or restrict all or any part of the Services at any time, with or without notice. We are not liable to you for any modification, suspension, discontinuation, or unavailability of any part of the Services.

Subject to these Terms, Efficient App grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own lawful personal use or internal business use.

Except as expressly permitted by us in writing, you may not:

(a) copy, reproduce, republish, distribute, publicly display, publicly perform, sell, license, rent, lease, or otherwise exploit the Services or any content from the Services;
(b) modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying components of the Services;
(c) remove, alter, or obscure any copyright, trademark, or other proprietary notices;
(d) frame, mirror, or create a competing or substitute service based on the Services or their structure, content, rankings, comparisons, or organization; or
(e) use the Services in any way not expressly authorized by these Terms.

You agree not to, and not to permit any third party to:

(a) violate any applicable law or regulation;
(b) infringe, misappropriate, or otherwise violate any third-party rights, including intellectual property, privacy, publicity, contract, or other rights;
(c) access, collect, scrape, crawl, harvest, cache, index, download, or otherwise extract content or data from the Services by automated, programmatic, or mechanical means, including bots, spiders, crawlers, scrapers, headless browsers, or similar tools, without our prior written consent;
(d) use any content, data, comparisons, rankings, classifications, summaries, metadata, or other materials from the Services to train, test, fine-tune, benchmark, validate, or improve any machine learning model, large language model, generative AI system, synthetic dataset, or other automated system, without our prior written consent;
(e) interfere with, disable, bypass, or circumvent any security feature, access control, authentication measure, rate limit, or other protective measure of the Services;
(f) introduce malware, viruses, harmful code, phishing content, or any other malicious or technologically harmful material;
(g) use the Services in any manner that could overload, disrupt, damage, or impair the Services or interfere with any other person’s use of the Services;
(h) impersonate any person or entity, misrepresent your identity or affiliation, or falsely imply sponsorship, endorsement, partnership, or approval by Efficient App;
(i) submit false, misleading, deceptive, or unlawful information to us;
(j) use the Services or any content from the Services to build, market, support, or improve a competing content platform, review repository, ranking product, deal database, or dataset; or
(k) share access to paid courses or digital products except as expressly permitted by the applicable product page or a separate written agreement with us.

As between you and Efficient App, the Services and all content made available by us through the Services, including text, graphics, images, video, audio, downloads, course materials, layouts, design, compilations, trademarks, logos, software, functionality, comparisons, rankings, and other materials, are owned by Efficient App or its licensors and are protected by intellectual property and other applicable laws.

No right, title, or interest in or to the Services or any content is transferred to you except for the limited license expressly granted in these Terms.

If you submit or provide us with a testimonial, quote, review, case study information, logo, photo, image, video, survey response, or other content for publication, promotional use, or inclusion in the Services, you grant Efficient App and its service providers a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, publish, display, perform, distribute, adapt, modify for formatting or clarity, and otherwise use that content to operate, improve, market, and provide the Services and our business.

If the materials you provide include your name, company name, title, likeness, voice, or logo, you also grant us the right to use those identifiers in connection with the applicable materials.

You represent and warrant that:

(a) you own or control all rights necessary to provide those materials and grant the rights described above;
(b) the materials are accurate to the best of your knowledge and not misleading;
(c) the materials do not infringe or violate any third-party rights or applicable law; and
(d) you have obtained any necessary permissions and consents from individuals or organizations referenced in the materials.

If you send us suggestions, ideas, comments, or other feedback about the Services, you agree that we may use that feedback for any purpose, without restriction or compensation to you.

We are not obligated to publish, use, or retain any materials you provide to us.

The Services may include reviews, opinions, comparisons, rankings, curated lists, editorial recommendations, discounts, promotions, deal pages, affiliate links, sponsored or partner content, and references to third-party products or services.

Unless we expressly state otherwise, such content reflects Efficient App’s editorial judgment, research, or opinions at the time published and is provided for general informational and educational purposes only.

We may choose, in our sole discretion, whether to create, publish, update, revise, label, rank, feature, compare, remove, or discontinue any product, company, offer, or content appearing on the Services.

Some content on the Services may include affiliate links, referral links, sponsorships, paid promotional placements, or references to companies with which Efficient App or its principals may have commercial, advisory, or investment relationships. If you click, sign up, purchase, or otherwise interact through certain links or offers, we may receive commissions, referral fees, compensation, discounts, credits, or other economic benefits.

Any third-party discount, trial, promotion, referral bonus, or special offer described on the Services is controlled by the applicable third party and may be changed, suspended, or withdrawn at any time. You are responsible for reviewing the third party’s current terms before relying on any offer.

Some portions of the Services may be offered for a fee, including courses, digital products, sponsorships, promotional placements, or similar offerings.

Prices, features, availability, and included materials may change at any time. We may correct pricing errors, description errors, or other inaccuracies at any time.

Payments may be processed by third-party payment processors, commerce providers, or delivery platforms. By making a purchase, you authorize us and our payment processors to charge the payment method you provide for the applicable amount, plus any taxes or fees disclosed at checkout.

Unless a product page, checkout page, order form, invoice, or separate written agreement expressly states otherwise, or unless required by law:

(a) all fees are non-refundable;
(b) digital products and course access are licensed, not sold;
(c) purchases are for a single user only and may not be shared, redistributed, resold, sublicensed, copied, re-hosted, or made available to others; and
(d) we do not guarantee any particular result, outcome, traffic, leads, conversions, revenue, ranking, performance improvement, or business benefit from any course, promotional placement, sponsorship, or other paid offering.

If a specific product page or written offer includes a refund policy, guarantee, or other product-specific terms, that language controls for that product to the extent of any conflict with these Terms.

If you purchase a sponsorship, content deal, promotional package, or similar offering under a separate written agreement, insertion order, order form, or invoice, that separate agreement controls to the extent of any conflict with these Terms.

We may suspend or revoke access to any paid offering if your payment fails, is reversed, is charged back, or if you violate these Terms.

The Services may contain links to third-party websites, checkout flows, payment processors, course-delivery platforms, social media services, videos, products, or services. Efficient App does not control and is not responsible for any third-party content, policies, practices, products, or services.

Your dealings with any third party are solely between you and that third party. We are not responsible or liable for any loss or damage arising out of or related to third-party sites, services, products, offers, or processors.

Your use of the Services is also governed by our Privacy Policy.

If you provide personal information to us about another person, you represent that you have all rights and consents necessary to do so.

The Services are provided for general informational and educational purposes only. Nothing on the Services is legal, tax, accounting, financial, investment, employment, medical, or other professional advice, and nothing on the Services creates a fiduciary or advisory relationship between you and Efficient App.

Content relating to software, pricing, features, integrations, workflows, productivity, business operations, banking, tax, payroll, finance, or investing may change frequently and may be incomplete, outdated, or inaccurate. You should verify important information directly with the relevant provider and consult qualified professionals where appropriate before acting on any information.

We do not guarantee that the Services or any content will be accurate, complete, current, secure, error-free, or available at any particular time.

Your notice should include:

(a) identification of the work or right allegedly infringed;
(b) identification of the material claimed to be infringing and information reasonably sufficient for us to locate it;
(c) your name, address, email address, and phone number;
(d) a statement that you have a good-faith belief that the disputed use is not authorized by the rights owner, its agent, or the law; and
(e) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights owner or authorized to act on the owner’s behalf.

We may suspend, restrict, or terminate your access to all or any part of the Services at any time, with or without notice, for any reason, including if we believe you violated these Terms, created risk for us or others, or used the Services unlawfully.

Upon termination, any rights granted to you under these Terms will end immediately. Sections that by their nature should survive termination will survive, including Sections 5 through 19.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, ALL CONTENT, ALL COURSES, ALL DIGITAL PRODUCTS, ALL PROMOTIONS, AND ALL OTHER MATERIALS OR OFFERINGS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

EFFICIENT APP DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFFICIENT APP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFFICIENT APP’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(a) THE TOTAL AMOUNT YOU PAID TO EFFICIENT APP FOR THE APPLICABLE PAID OFFERING IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(b) ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless Efficient App and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, losses, damages, judgments, settlements, penalties, fines, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) your use of the Services;
(b) your violation of these Terms;
(c) your violation of applicable law;
(d) your infringement, misappropriation, or violation of any third-party rights; or
(e) any materials you provide to us.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of that matter.

These Terms and any dispute arising out of or relating to the Services or these Terms will be governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Before filing a legal claim, each party agrees to try in good faith to resolve the dispute informally by sending written notice to the other party and allowing at least 30 days for a response.

If a dispute is not resolved informally, the state or federal courts located in Travis County, Texas will have exclusive jurisdiction, and each party consents to the personal jurisdiction and venue of those courts, except that either party may bring an eligible claim in small claims court.

These Terms, together with any additional terms that expressly apply to a specific product, promotion, or offering and our Privacy Policy, form the entire agreement between you and Efficient App regarding the Services and supersede all prior or contemporaneous understandings on that subject.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

A party’s failure to enforce any provision of these Terms is not a waiver of that provision.

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, sale of assets, or other transfer.

These Terms do not create any joint venture, partnership, agency, employment, or fiduciary relationship between you and Efficient App.

There are no third-party beneficiaries to these Terms.

We may provide notices electronically, including by posting them on the Services or sending them to the email address you provide to us.

You may not use, export, or re-export the Services or any related materials in violation of applicable export control or sanctions laws, and you represent that you are not located in, or ordinarily resident in, a jurisdiction where your use of the Services would be prohibited by applicable law.

Headings are for convenience only and do not affect interpretation. The words “including” and “include” mean “including without limitation.”
